BACKGROUND, HISTORY AND MISSION OF THE ORGANIZATION

Established in 1984, the National Osteoporosis Foundation (NOF), headquartered in Washington, DC, is the nation’s leading voluntary health organization solely dedicated to osteoporosis and bone health. Its primary mission is preventing osteoporosis, promoting lifelong bone health, helping to improve the lives of those affected by osteoporosis and related fractures and to find a cure. Through a wide breadth of diversified resources including individuals, foundations, government sources and corporations, NOF is able to provide programs of awareness at all age levels, prevention, advocacy, public and health professional education and research to further its mission.

While NOF does not endorse any particular product or service, the Foundation does inform the public about all FDA-approved therapies as well as the availability of other appropriate products and services related to bone health as part of its educational responsibility to the public and healthcare professionals.

Scientific and lay members of NOF’s Board of Trustees and other leading experts in the field of osteoporosis are routinely consulted to provide a fair and balanced perspective regarding written materials and educational programming. NOF is in full compliance with the Good Operating Practices Standards of the National Health Council, meets the strong and comprehensive standards of the Better Business Bureau’s Wise Giving Alliance and has been awarded the Independent Charities Seal of Excellence.

NOF, a 501(c) 3, $4.7M organization with a $5M+ reserve, has an authorized 29 voting member Board comprised of business leaders nationwide and medical professionals within the scientific community. Although NOF is a foundation with a strong fundraising and development arm, it has certain professional association characteristics, such as membership, education, meetings, advocacy and other professional association components, requiring an integrated skill set in all these areas by its leader.

NOF’s Mission

To prevent osteoporosis and related fractures, to promote lifelong bone health, to help improve the lives of those affected by osteoporosis and to find a cure through programs of awareness, prevention, advocacy, public and health professional education and research.

The general objectives of NOF are:

  • To represent and advocate on behalf of consumers, patients and the public and health professionals concerning the impact of osteoporosis before legislators and regulatory bodies.
  • To increase awareness and educate via comprehensive patient and professional information about ways to promote lifelong bone health and ways to improve the lives of those affected by osteoporosis.
  • To help expand federal, corporate and individual funding for research and support scientific inquiry, discovery and breakthroughs in the field of osteoporosis.
  • To provide networking and educational opportunities for professional members.
  • To serve as the unified voice of osteoporosis among multiple disciplines, agencies and other associations who are involved in the fight against osteoporosis through strong partnerships and execution of a National Action Plan for bone health.
  • To perpetuate the Foundation and strengthen its ability to attract and serve its individual and corporate donors and members.



STATEMENT OF NEED FOR THE POSITION, SPECIFICATIONS AND PRINCIPLE ACCOUNTABILITIES

The Foundation is currently well positioned to grow with a healthy increase in its reserves after having undergone a downsizing in facilities, staff and budget due to the recent economic downturn. NOF’s Board is also embarking on a new strategic plan development and implementation and is in need of an executive director, who can help the governing bodies take the organization to the next level in infrastructure development, administrative, financial and program operations, as well as shape its new future. The Executive Director is held accountable for achieving all Foundation goals and objectives as determined by the Board of Trustees. The Executive Director is responsible for planning, organizing, and directing the staff, as well as the Foundation’s overall programs and activities, according to its bylaws and policies, to achieve NOF’s mission, goals and objectives in the most efficient and effective manner possible.



POSITION SPECIFICATIONS

TITLE: Executive Director and Chief Executive Officer
REPORTS TO: Board of Trustees through an Executive Committee and the Chairman of the Board
DIRECTLY SUPERVISES: A five person Executive Staff consisting of a: Director of Finance and Administration, Director of Communications and Marketing, a Director of Development and Membership, a Senior Director of Education, and Senior Director of Public Policy and Government Relations
EXTERNAL CONTACTS: Members, individual and corporate donors, sponsors, volunteer leaders, vendors, partners, government, other associations/foundations/agencies, media and consumers
INTERNAL CONTACTS & COORDINATION: Department Heads, all staff.
COMPENSATION RANGE: Dependent on qualifications and experience for a foundation in this size range.


SUMMARY OF PRINCIPAL ACCOUNTABILITIES

  1. To assure short- and long-term results based on Board’s objectives, goals and policies.
  2. To manage the day-to-day administration and operations of the Foundation.
  3. To manage the Foundation annual budget, reserves, cash flow, investments and lease.
  4. To attend to all appropriate governmental affairs, public and media relations of the Foundation.
  5. To enhance and expand aggressively donor development and corporate giving.
  6. To cultivate physician/clinician membership, recruitment and retention proactively.
  7. To develop, promote and organize public and professional health education and awareness through meetings, publications, Internet functions of the Foundation, and,
  8. To attend to the governance and management liaison operations with the Board in carrying out volunteer management operations.


NATURE AND SCOPE

A. Introduction

With the expanding reach due to the life cycle of baby boomers, NOF has an opportunity for a highly skilled, articulate and dynamic leader who can foster an effective partnership of staff and Board in shaping and achieving the organization’s vision and strategies while at the same time providing the kind of “hand-on” input required to meet desired outcomes and expectations.

As CEO, she/he is responsible for all matters relating to the management of NOF including assistance to the Board in formulating policy and procedures and the execution of same. The individual is responsible for and has commensurate authority to achieve those tasks designated under Section B, Duties and Responsibilities. Although the Executive Director may delegate portions of her/his responsibilities consistent with sound operations and authorized policies and procedures, together with proportionate authority for their fulfillment, she/he may not delegate or relinquish any portion of her/his accountability for results.

The Executive Director reports to the Board through the Executive Committee, consisting of the current Chairman (a lay member of the Board), President (a medical member of the Board), Treasurer, Secretary and two other members. A variety of Board committees assist the Board in fulfilling its governance and programmatic responsibilities (see Web site for committees and functions.) The Executive Director receives general administrative direction and broad policy guidance. Within the framework of Foundation policies, she/he appropriately develops, directs, controls, evaluates and operates within areas of responsibility. Duties and responsibilities lie in five major functional areas: legislative issues/advocacy management; administrative management/resource and financial management/personnel management; Foundation/governance management; development/membership management; communications/marketing/awareness/ prevention management; and publications/meetings/education management.

B. Duties and Responsibilities

    1. Supervise activities of staff and manage Foundation Headquarters.

    • Responsible for setting salaries and benefits within the approved budget, hiring and termination of personnel employed by the Foundation.
    • Sets all fees for programs and activities of the Foundation.
    • Serves as principal liaison with staffs of affiliated and vendor organizations and any and all Societies, industry, government and public service organizations as may be designated by the NOF Board.
    • Authorizes and executes through signatures such contracts and commitments for NOF as may be authorized by the Board through budget or policy to carry out established Foundation objectives.
    • Responsible for and maintains organization’s financial stability and well-being.

    2. As technical advisor to the Board, analyzes, evaluates, recommends and advises the Board on the broad spectrum of Foundation policies and procedures. Analyzes needs and plans; develops, monitors and evaluates projects; and prepares reports of a sophisticated and technical nature impacting substantially upon the administrative, financial and operational focus of the Foundation.

    • Serves as an officer of the Foundation and a member ex-officio on the Board of Trustees and Executive Committee, and all committees and task forces of the Foundation.
    • Develops procedures/policy statements for review and adoption by the Board of Trustees and Foundation Committees. Assists committees in the development of policies and procedures.

    3. Executes Foundation marketing, communication, publications, meetings and development/fund raising goals and objectives to ensure desired outcome and results.

    • Serves as the spokesperson with the Chairman and President for the Foundation and the osteoporosis community and undertakes as many speeches, appearances, and other opportunities before the government, public, industry, and communities as feasible and appropriate.
    • Supervises publications and journal input of the Foundation as well as meetings and trade show activities.
    • Promotes interest and active participation in NOF activities and programs among the donors/membership and supervises the proper communication of activities of NOF, the Board of Trustees, Committees and/or Task Forces of NOF to relevant constituencies.
    • Participates in work with the development staff to solicit funds aggressively from all key sources.
    • Represents the Foundation in contacts with national and international organizations, national, federal government and state agencies, corporate, community and professional groups.

    4. Completes other duties as assigned by the Board of Trustees, the Executive Committee, or the Chairman.

C. Scope and Effect of Work

Recommendations and independent actions taken by the Executive Director affect the daily functioning of the headquarters. The Executive Director plays a vital role in short- and long-range Foundation planning in major administrative and financial areas of changing priorities. The ability of the Foundation to react immediately to various financial (most important), administrative, management, governance and donor/membership problems as they occur depends directly on the competence and skill of the Executive Director.

The activities of the Executive Director with the Board of Trustees, Committees, and Task Forces often influence their decisions and have direct bearing on policy formulated by the Foundation. The Executive Director represents the Foundation and interprets Foundation policies in contacts with national and international agencies as well as with individuals.

SUPERVISION AND GUIDANCE RECEIVED

The Executive Director reports directly to and receives general administrative guidance from the Board of Trustees through the Executive Committee and the Officers. During periods between Board meetings, the Executive Director seeks guidance from and reports to the Chairman. Within the framework of Foundation policies and objectives, international, federal and state regulations and/or legislation, the Executive Director independently develops, recommends, evaluates and executes policy in all areas of responsibility.

The Executive Director is expected to operate in all administrative, financial, governance, and management areas without direct supervision. The Board of Trustees will provide broad policy guidance, and it is the Executive Director's responsibility to provide the specifics and implement such instructions. The Board usually assigns projects to the Executive Director by indicating general project purposes/anticipated goals. The manner in which the projects are to be carried out in order to reach the goals and the staff to whom the projects are to be assigned are decisions determined by the Executive Director. The Executive Director provides a report to the Board/Executive Committee/Officers at each Board meeting about the progress towards goals and objectives and interim reports monthly and/or as necessary. The Executive Director operates without constant supervision or formal documentation. The Board recognizes that the role of volunteer management is to decide the direction and policies of the Board, and it is the job of the Executive Director to apply resources and solutions to implement them.

The Executive Committee, acting as the personnel committee, will provide the Executive Director a formal yearly evaluation, and the Chairman will provide an informal mid-year evaluation to ensure that the Executive Director is performing duties and responsibilities as appropriate.

The Executive Committee is responsible for the contract, compensation, benefits and evaluation of the Executive Director and will report to the Board and receive policy parameters in that regard.

PROFESSIONAL AND INTELLECTUAL DEMANDS

The Executive Director must have foresight in reviewing and administering the changing financial and administrative policy areas in which problems could reach serious proportions. The Executive Director is called upon frequently to provide information on a variety of administrative and financial subjects to the Board, Committee chairs, and other Foundation members and outside organizations/agencies. It is important that the Executive Director keep abreast of Foundation policies and practices; activities/projects ongoing by the Foundation; status of projects assigned to and activities of units within the Foundation; standards and procedures of Committees/Task Forces, of which the Executive Director is required to have specific knowledge; and knowledge of current practices and future trends in the osteoporosis field. Even though the Executive Director may not come from the field or have personal family experiences with osteoporosis, she/he will be expected to become immersed in the field through instruction, education and visits with key field professionals. It cannot be over emphasized how critical the “understanding” of the field is in this regard.

The Executive Director often makes decisions on matters of policy interpretation and/or major practices without specific instruction unless a serious problem exists, in which case the Executive Director confers with the Executive Committee, Board, or Chairman in their absence. Because of the potential far-reaching ramifications of the Executive Director's decisions, thorough deliberation and review of precedents are mandatory and work with the Foundation’s Legal Counsel on a variety of copyright and other legal issue will be expected as warranted.

The Executive Director must maintain focus on the successful execution and integration of the Foundation’s strategic plans, annual budget and financial resources as well as stay tuned to industry trends in the charitable giving environment, potential growth opportunities plus monitor all financial risks and agreements on behalf of the organization.

PERSONAL WORK CONTACTS

To keep fully informed in the areas of responsibility, it is necessary that the Executive Director maintains direct, regular and continuing contacts with NOF’s stakeholders (physicians, clinicians, other agencies and organizations, and members and donors) including the following:

  1. Society and corporate/government affairs, agents and legal contacts including Foundation Legal Counsel and auditors;
  2. Senior and mid-level staff at several international and national agencies; CEOs and administrative, finance and personnel officials at a variety of corporate and nonprofit organizations/societies;
  3. Foundation service providers, clients and consultants; the variety of media; and,
  4. Others at senior positions in government, pharmaceuticals, research and industry with an interest in osteoporosis.

The purpose of these contacts is to keep fully current in the latest regulations, laws, concepts, programs and equipment in administrative and operational areas in order to recommend appropriate changes to Foundation operations; to maintain positive relationships for potential joint collaboration efforts; and to ensure the Foundation is clearly represented as a major player among those having interest in the field of osteoporosis.

QUALIFICATIONS AND COMPENSATION

The successful candidate must be motivated, entrepreneurial, diplomatic and with strong transformational leadership skills and demonstrated experience in nonprofit management or a similar field. A college degree (graduate degree preferred) or other degree with requisite experience in a related scientific or management field or discipline is necessary.

The following are broad qualifications and experience that would be considered appropriate but not all necessary for the Executive Director.

  1. Appropriate service as a chief executive officer or senior officer of a foundation, professional association with adjunct foundation or other not for profit organization (preferably in the healthcare environment);
  2. A combination of progressive experience in general administrative, financial and/or other fields appropriate to foundation or association management. An understanding of fundamental principles associated with managing a science-based charitable organization is desirable;
  3. Working knowledge of the healthcare landscape (including state and federal government programs, agency missions, national policy making processes, industry/commercial environment and guidance for corporate partnerships);
  4. Proven successful leadership in establishing revenue generating partnerships at the executive level in development, non dues revenue or other revenue activities.
  5. Substantial supervisory experience;
  6. Experience managing I/T and Web-creative functions and production operations; skills in using social media in the fundraising or non dues revenue areas is a plus;
  7. Experience with journal publications management;
  8. Good listener and strong collaborator – consensus/team builder;
  9. Problem solving, analytical and action-oriented based on informed decisions;
  10. Excellent organizational and interpersonal skills;
  11. Articulate, strong communicator with excellent writing skills with ability to serve as the Foundation spokesperson with chief volunteers; and,
  12. Understanding of government, advocacy work and development/fund-raising processes.

Position Compensation, Benefits and Travel Requirements

Salary commensurate with experience and qualifications and within Greater Washington Area compensation parameters for a $5M organization in the appropriate compensation quartile based on experience. 20-25 days of travel per year is to be expected.
